Terms of Service

1. Agreement to Terms

By accessing or using Flip ("the Service"), provided by Cannabis Wise Guys ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Flip is a cultivation facility management application designed for licensed cannabis operators. The Service provides room tracking, plant management, cycle scheduling, harvest recording, and operational logging tools. Flip is accessed at app.flipgrow.app.

Flip is an operational tool. It is not a compliance platform, seed-to-sale tracking system, or substitute for any state-required tracking system (including but not limited to Metrc, BioTrack, or Leaf Data Systems). Compliance with all applicable state and local regulations remains your responsibility.

3. Eligibility

You must be at least 21 years old and operating a licensed cannabis facility (or in the process of obtaining a license) to use Flip. By using the Service, you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

5. Your Data

You retain ownership of all operational data you enter into Flip, including room configurations, plant records, harvest data, action logs, notes, and photos. We do not claim any ownership rights over your data.

You can export your data at any time via CSV export. If you terminate your account, you may request a full export of your data before deletion.

We may access your data only for the purpose of providing the Service, providing technical support at your request, or complying with legal obligations.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or other user accounts
• Interfere with or disrupt the Service
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute access to the Service without our written consent

7. Payment and Billing

Pricing for Flip is communicated directly during onboarding. Payment terms, billing cycles, and refund policies are established at the time of your subscription agreement. We reserve the right to change pricing with reasonable notice.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Cannabis Wise Guys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of crops, arising out of or related to your use of the Service.

Flip is an operational management tool. Decisions about plant care, facility management, harvest timing, and all other cultivation operations are made by you. We are not responsible for the outcomes of operational decisions made using the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or available at any particular time.

11. Termination

Either party may terminate the subscription with written notice. Upon termination, you may request an export of your data. We will retain your data for 30 days after termination, after which it will be permanently deleted unless you request otherwise.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles.
